Terms of Service

These Terms of Service ("Terms") govern your use of ClientPaper, operated by Siddharth G("we", "us", "the operator"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract, to use ClientPaper.

2. The service

ClientPaper is a tool that helps freelancers generate business documents (invoices, agreements, proposals, NDAs, scope-of-work documents, change requests, and terms-of-service documents) and manage client records.

3. Not legal or financial advice

ClientPaper does not provide legal, tax, or financial advice. Documents generated by the service are templates based on the information you provide. They are not a substitute for advice from a qualified lawyer or accountant licensed in your jurisdiction. No attorney-client or advisory relationship is created by using this service. You are solely responsible for reviewing any generated document, and having it reviewed by a qualified professional where appropriate, before relying on it or sending it to a third party.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at Siddharthgundavarapu@gmail.com if you suspect unauthorized use.

5. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or to generate fraudulent documents
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the service's infrastructure
  • Reverse-engineer, scrape, or resell the service without our written permission

We may suspend or terminate accounts that violate this section.

6. Your content

You retain all ownership rights to the documents, client data, and other content you create using the service ("your content"). You grant us a limited license to store, process, and display your content solely to provide the service to you. We do not claim ownership of your content and do not use it for any purpose other than operating the service.

You are responsible for ensuring you have the right to enter any third-party information (such as client names and contact details) into the service, and for complying with applicable privacy law with respect to that information.

7. Service availability

The service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the service will be uninterrupted, error-free, or secure at all times.

8. Limitation of liability

To the maximum extent permitted by law, the operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the service or reliance on any generated document. Where liability cannot be excluded by law, it is limited to the amount you paid for the service in the 12 months preceding the claim (or a nominal amount if you have not paid anything, as permitted by law).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, such as liability for fraud or gross negligence.

9. Indemnification

You agree to indemnify and hold the operator harmless from any claims, damages, or expenses arising from your use of the service, your content, or your violation of these Terms or applicable law.

10. Termination

You may stop using the service and delete your account at any time from Settings. We may suspend or terminate your access if you violate these Terms, with notice where practicable. On termination, your data is deleted in accordance with our Privacy Policy.

11. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles, and any dispute shall be subject to the exclusive jurisdiction of the courts of India. If you reside somewhere that grants you non-waivable local consumer-protection rights, this section applies only to the extent permitted by that law.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.

13. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the operator regarding the service.
